Penteris has recently been involved in a transaction which will no doubt have great repercussions on the global industrial and aluminium market. The Penteris team has had the pleasure of advising Alumetal S.A. (one of the largest producers of casting aluminium alloys in Europe) in a transaction which has led to the announcement by Norsk Hydro (one of the largest aluminium companies in the world) of a public tender offer for the purchase of all shares in Alumetal S.A.Norsk Hydro is a leading aluminium and energy company originating from Norway employing 35,000 people, operating in over 50 countries across the globe. Alumetal specialises in the production of high-quality casting alloys. It has four factories: three in Poland and one in Hungary.A key shareholder of Alumetal S.A. as well as the shareholders who are members of the Alumetal S.A. Management Board and Supervisory Board have agreed to dispose of their shares within the public tender announced by Norsk Hydro. The transaction puts the valuation of Alumetal at over PLN one billion.The completion of the public tender is subject to customary terms and conditions, including competition clearance and gaining control of a minimum of 66% of the total shares outstanding.The Penteris team which worked hard to support and guide Alumetal in the transaction was led by Penteris partners Wojciech Fabrycki and Tomasz Kudelski and included Aleksandra Rogalska.
